Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the MaxProm platform, including the portal located at portal.maxprom.com and any related services. By accessing or using the platform, you agree to be bound by these Terms.
MaxProm provides a business communication and workflow automation platform that enables business clients ("Clients") to send post-service follow-up messages to their customers ("End Users").
2. Platform Services
MaxProm provides the following services through its platform:
- Post-service follow-up messaging (SMS) sent on behalf of Clients to their End Users
- Review request delivery and management
- Client portal access for managing contacts and communications
- Delivery reporting and analytics
All messaging services are subject to applicable telecommunications regulations, carrier policies, and the terms outlined in this agreement.
3. Client Responsibilities
By using the MaxProm platform, Clients agree to the following:
- Existing business relationship required: Every phone number submitted through the platform must belong to a customer with whom the Client has a completed, legitimate business relationship. The End User must have provided their phone number directly to the Client in the course of a business transaction (such as booking an appointment, requesting a service, or completing a purchase).
- No purchased or rented lists: Clients may not upload, submit, or use phone numbers obtained from purchased lists, rented lists, data brokers, lead generation services, or any source other than a direct business interaction.
- Accurate information: Clients are responsible for the accuracy of all information submitted through the platform, including business details, customer names, and phone numbers.
- Compliance: Clients agree to comply with all applicable federal, state, and local laws regarding electronic communications, including but not limited to the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
- One-time messaging only: The platform is designed for one-time post-service follow-up messages. Clients may not use the platform to send recurring, promotional, or marketing messages unless expressly agreed to in writing.
4. SMS / Text Messaging Terms
The following terms apply to all SMS communications sent through the MaxProm platform:
- Message type: One-time post-service follow-up messages (such as review requests)
- Message frequency: One (1) message per End User per service visit
- Opt-out: End Users can opt out at any time by replying STOP to any message. MaxProm will process all opt-out requests and maintain suppression lists.
- Help: End Users can reply HELP for assistance or contact [email protected]
- Message and data rates may apply depending on the End User's mobile carrier and plan
- Supported carriers: All major U.S. mobile carriers
- MaxProm is not responsible for delayed or undelivered messages due to carrier issues, network outages, or device settings
5. Consent and Data Use
By submitting an End User's phone number through the MaxProm platform, the Client:
- Confirms that an existing business relationship exists between the Client and the End User
- Confirms that the End User's phone number was provided directly by the End User during a legitimate business interaction
- Authorizes MaxProm to send a one-time follow-up message to the End User on the Client's behalf
- Agrees that they have not and will not submit phone numbers without a legitimate business basis for doing so
MaxProm does not sell, rent, or share End User phone numbers or personal information with third parties for marketing or promotional purposes. For full details, see our Privacy Policy.
6. Client Portal Access
- Login credentials are personal and must not be shared with unauthorized parties
- Clients are responsible for maintaining the security of their account credentials
- Clients must notify MaxProm immediately if they suspect unauthorized access to their account
- MaxProm reserves the right to suspend or terminate portal access for any Client that violates these Terms
7. Prohibited Uses
Clients may not use the MaxProm platform to:
- Send messages to individuals with whom they do not have an existing business relationship
- Send spam, unsolicited messages, or messages unrelated to a completed service
- Upload phone numbers from purchased, rented, or third-party lists
- Send messages containing content related to: illegal activities, hate speech, adult content, gambling, cannabis, firearms, alcohol, tobacco, debt collection, or any content prohibited by U.S. mobile carriers
- Misrepresent the identity of the message sender
- Violate any applicable law or regulation
Violation of these terms may result in immediate suspension or termination of the Client's account without refund.
8. Intellectual Property
All content, tools, systems, and methodologies within the MaxProm platform remain the sole property of MaxProm. Clients retain ownership of their own business data and customer information submitted through the platform.
9. Limitation of Liability
MaxProm is not liable for: carrier message delivery failures, changes to carrier policies or filtering rules, third-party platform outages, or any indirect, incidental, or consequential damages. In all cases, our total liability is limited to the fees paid by the Client for the specific service in question during the preceding 30-day period.
10. Termination
Either party may terminate services with 30 days written notice. Upon termination, MaxProm will delete all Client and End User data from the platform within a reasonable timeframe, except where retention is required by law or for suppression list compliance.
11. Changes to Terms
MaxProm may update these Terms from time to time. We will update the effective date at the top of this page when changes are made. Continued use of the platform after changes have been posted constitutes acceptance of the revised Terms.
